How your company’s name carries over to India

QuestionThe rule
Can the subsidiary use the parent’s name?
  • Yes, with "India" or an Indian state or city added (Rule 8A(1)(i))
  • Only if no Indian company already uses it: the parent’s approval does not override that
What happens to Inc., LLC or GmbH?
  • The foreign form is dropped and the name ends in "Private Limited" (Rule 8A(1)(j))
What if an Indian company already has the name?
  • Add a distinctive word: MCA’s own example is "Techshine Solutions India Private Limited" where "Techshine Private Limited" exists
  • If your name is a registered trademark in India, a company registered in the last 3 years can be ordered to change its name (section 16)
Does adding a city make a taken name free?
  • No. "Salvage Technologies Delhi" counts as the same as "Salvage Technologies" (Rule 8(2)(k)); only a distinctive word sets you apart
Does a trademark matter?
  • If someone else holds your name as a registered word mark in India for your line of business, MCA will normally ask for their consent
  • If your parent holds the mark, its consent letter covers it
What does the parent sign?
  • A board resolution approving the subsidiary and its name, which needs no notarisation or apostille
  • Its certificate of incorporation and charter documents
  • A trademark consent letter, where needed
Do your directors need to travel?
  • No. They sign abroad and have the incorporation pages notarised and apostilled, or consularised for countries such as Germany

Questions foreign companies ask about the name

Can my Indian subsidiary have the same name as my company?

Yes, with "India" or an Indian state or city added, such as "Acme Analytics India Private Limited", if no Indian company has a name the Registrar would treat as the same.

Which Indian companies use a foreign parent’s name?

Google India Private Limited (2003), IBM India Private Limited (1997), SAP India Private Limited (1996) and Salesforce.com India Private Limited (2005) all add "India" to the parent’s name.

What if an Indian company is already using our name?

Add a distinctive word, such as "Acme Analytics Solutions India Private Limited". If your name is a registered Indian trademark, a company registered in the last 3 years can be made to change its name.

Do we need to register our trademark in India first?

You can reserve the name without one. A registered mark does let you challenge a company that copies your name within 3 years of its registration.

Does the name have to include "India"?

Only if you use your parent’s name as it is. A name with a different distinctive word does not need it.

How long does the name approval take?

MCA’s standard is 1 working day. The name is then held for 20 days, extendable to 60.

Who signs for the parent company?

Its board passes a resolution approving the subsidiary and its name, signed by an authorised representative. We send the wording.

What is a subsidiary of a company incorporated outside India?

MCA uses this label for an Indian company controlled by a foreign company; you see it as the sub-category in its master data. Older subsidiaries are often labelled "Non-government company" instead.

What are the requirements to incorporate a foreign subsidiary in India?

You need two directors, one resident in India for 182 days a year, two shareholders, usually the parent and a nominee, an Indian registered office, and the parent’s documents, notarised and apostilled where needed. Investors from countries bordering India need government approval.

Does a wholly owned subsidiary mean 100% owned?

Yes. Because a private company needs two shareholders, a nominee usually holds one share for the parent.

Is "Limited" bigger than "Private Limited"?

No. "Limited" marks a public company, which may offer shares to the public and needs three directors; "Private Limited" marks a private one, which needs two. Neither says anything about size.
