    Questions about the resident director role

    What does a resident director do?

    Meets the 182-day test and signs basic operational documents on board approval. Ours takes no part in your business.

    Can a non-resident be a director of an Indian company?

    Yes. Only one director must meet the 182-day test; the others can live anywhere.

    Does the resident director have to be an Indian citizen?

    No. The test is where the director stays during the financial year (1 April to 31 March), whatever their nationality.

    What is the difference between a resident director and a nominee director?

    Nominee director is the everyday name for one placed by a service firm. In law both are directors.

    When should we appoint one?

    Before incorporation, so the new company meets the test in its first financial year.

    How do we keep control of the company?

    Board approval for every signature, two bank signatories, and replacement on notice.
